Brio Odyssey: Common Directors Expose 'No Affiliation' Claim

· Free Press Journal

Brio Elevators has issued an "Official Clarification" claiming that Brio Elevators and Odyssey Home Elevators are "two separate and independent companies," with "no ownership, partnership, affiliation, or business association" between the two brands. However, publicly available corporate records show two individuals holding key positions in both businesses, raising questions about how customers are being asked to understand the relationship between the brands.

Brio’s public statement is categorical. It asks customers, partners and stakeholders to recognize Brio and Odyssey as separate companies with independent identities. But a review of publicly available corporate information presents a more complicated picture.

Two Separate Companies — But Common Directors

Brio Elevators LLP lists Venkatesh Jagabathina and Afash Mahammad Shaik among its designated partners. Public corporate records for Odyssey Elevators Private Limited list the same two individuals as directors. (IndiaFilings) Independent company-information records also specifically identify Odyssey as a company connected to Brio through these common directors. (Tofler) This does not automatically mean that Brio and Odyssey are the same legal entity. They are separately registered businesses. However, it raises a straightforward question: If there is "no affiliation" or "business association," why do the companies have common directors? That is a question customers deserve to have answered clearly.

Brio’s Statement vs. The Public Record

Brio’s StatementPublicly Available Information "Two separate and independent companies" Brio and Odyssey are separately incorporated/registered entities. "No ownership, partnership, affiliation, or business association" Venkatesh Jagabathina and Afash Mahammad Shaik are listed in leadership positions in both businesses. (IndiaFilings) "Independent identities" Corporate records identify the same two individuals as connected to both entities. (Tofler) Customers are asked to "note this distinction" The overlapping leadership creates a reasonable question about what "no affiliation" actually means.

Odyssey’s Own Website Raises Further Questions

The issue becomes even more notable when information published by Odyssey itself is considered. Odyssey’s website describes Venkatesh Jagabathina as "Founder & Chief Executive Officer, Brio Elevators, Odyssey Elevators & Claro Windows & Doors. " The profile also states that he leads business vision, brand direction, operations, sales leadership and strategic growth across the businesses. (Odyssey)

This creates an apparent inconsistency that customers may reasonably want explained. On one side, Brio publicly tells customers that there is "no ownership, partnership, affiliation, or business association" between Brio and Odyssey. On the other, publicly available corporate records show common directors, while Odyssey’s own website describes a senior leader as CEO of both Brio and Odyssey.

What Exactly Does "No Affiliation" Mean?

This is ultimately a question of transparency. Brio and Odyssey may be separate legal entities. But customers may reasonably want to know more than the legal registration status of the companies. They may want to understand:

  • Who are the people behind each brand?
  • Who makes the key business decisions?
  • Why are the same individuals directors or partners in both companies?
  • Does "no affiliation" refer only to separate legal entities?
  • How does Brio define "business association"?
  • Why does Odyssey’s own website describe Venkatesh Jagabathina as a leader of both businesses?

These are legitimate questions for customers considering a significant purchase.

Customers Deserve the Complete Picture

A home elevator is a major investment involving installation, servicing, maintenance and long-term customer support. Before committing to such a purchase, customers have every reason to understand the corporate and management structure behind the brand.

A social-media clarification can state that two businesses are independent. But when publicly available information shows common leadership, customers may reasonably expect a more detailed explanation. The issue is therefore not simply whether Brio and Odyssey have separate registrations. The issue is whether customers are being given a complete and transparent picture of the relationship between the people behind the two brands.

The Question Brio Should Answer

Brio has publicly stated that there is "no ownership, partnership, affiliation, or business association" between Brio and Odyssey. Yet corporate records show Venkatesh Jagabathina and Afash Mahammad Shaik associated with both businesses, while Odyssey’s own website describes Venkatesh Jagabathina as CEO of both Brio and Odyssey. (IndiaFilings)

The import trail raises even more serious questions: if lifts from Turkey are being imported into India under Brio Elevators’ IEC and then sold to Odyssey Elevators, how can the two companies continue to project themselves as independent entities? Why should customers be left to believe they are dealing with separate businesses when the import and supply chain allegedly connects the two? If Odyssey is selling these products to customers, shouldn’t buyers be clearly told who actually imported them, who manufactured them and who is ultimately accountable for the product being sold?

So the question for Brio and Odyssey is simple: Brio Says "No Affiliation" With Odyssey — Then Why Do They Have Common Directors? Customers should not have to investigate corporate records to understand who is behind the company they are considering buying from. Separate legal entities may be a fact. But shared leadership is also a fact that deserves a clear explanation. Now, will the directors come out and explain the truth or post fake information on social media?
